This Service Agreement (“Agreement”) is entered into on [Date] between:

Together referred to as the “Parties.”
1. Scope of Services
The Service Provider agrees to perform the following services for the Client:

3. Payment Terms

50% upfront deposit (non-refundable) before work begins

50% balance upon completion, before final delivery or launch

Late payments may result in suspension of services or additional fees.
4. Refund & Cancellation

The upfront deposit is non-refundable once the project starts.

Refunds will only be issued in line with our Refund & Cancellation Policy.

If the Client cancels mid-project, all completed work remains the property of Ace Digitals Global until full payment is received.
5. Client Responsibilities
The Client agrees to:

Provide accurate and complete information required for the project

Respond to communication and approvals within a reasonable timeframe

Ensure they have the rights to all materials (e.g., logos, images, text) provided for use in the project
6. Confidentiality
Both parties agree to maintain confidentiality of any sensitive information exchanged during the project.
7. Intellectual Property

Final deliverables become the Client’s property once full payment is received.

Ace Digitals Global retains the right to showcase completed work in portfolios, case studies, or marketing materials unless otherwise agreed in writing.
8. Limitation of Liability
Ace Digitals Global will not be held responsible for:

Losses, damages, or issues resulting from third-party services (e.g., hosting providers, ad platforms, or plugins).

Business outcomes such as revenue, engagement, or traffic performance, as results depend on external factors.
9. Termination
Either party may terminate this Agreement with written notice if the other party breaches its obligations. All payments for completed work remain due.
10. Governing Law
This Agreement shall be governed by and construed under the laws of Nigeria.
11. Acceptance of Agreement
By signing below, both parties agree to the terms of this Service Agreement.
